1. Interpretation and Definitions
The words whose initial letters are capitalized have meanings defined below. These definitions apply regardless of whether they appear in singular or plural.
For the purposes of these Terms and Conditions:
- Application means the software program provided by the Company downloaded by You on any electronic device, named FaidaSense.
- Application Store means the digital distribution service operated by Google LLC (Google Play Store) through which the Application has been downloaded.
- Affiliate means an entity that controls, is controlled by, or is under common control with a party.
- Country refers to Kenya.
- Company (referred to as "the Company", "We", "Us" or "Our") refers to FaidaSense Technologies, Nakuru, Kenya.
- Device means any device that can access the Service.
- Service refers to the Application or the Website or both.
- Subscription means a paid plan (Weekly or Monthly) that grants access to premium features.
- Terms and Conditions (also referred to as "Terms") means these Terms governing Your use of the Service.
- Website refers to FaidaSense, accessible from faidasense.com.
- You means the individual or entity using the Service.
2. Acknowledgment
These Terms govern Your use of the Service and form the agreement between You and the Company. By accessing or using the Service, You agree to be bound by these Terms. If You disagree, You may not use the Service.
You represent that You are at least 18 years old.
Your use of the Service is also subject to Our Privacy Policy.
3. Subscriptions, Payments, and Refunds
3.1 Subscription Plans
The Service offers paid subscription plans (Personal, Biashara, Combined) on a Weekly or Monthly basis.
3.2 Payment Processing
Payments are currently processed through the Google Play Store using Your Google Play account, in accordance with Google Play's billing policies.
In certain versions of the Application (such as APK distributions or future releases), payments may also be processed through third-party payment providers, including mobile money services (e.g., M-Pesa via IntaSend, Pesapal, or similar providers).
By making a payment, You agree to the applicable terms of the payment provider.
3.3 No Automatic Renewal
Subscriptions are prepaid and do not renew automatically. You will only be charged when You actively initiate a payment through the Application. The Company does not initiate automatic deductions.
3.4 Pricing
All prices are in Kenyan Shillings (KES) and include applicable taxes. Prices may change with at least 14 days' notice.
3.5 Refund Policy
All payments are final and non-refundable except as required by law. Refund requests must be submitted within 7 days of purchase. Refunds are granted at the Company's discretion, typically only for duplicate charges or technical failures that prevent access. Refunds are not provided for change of mind.
3.6 Free Tier
The Service offers a free tier with limited features and advertisements. The Company may modify or discontinue the free tier at any time.
3.7 Subscription Cancellation
You may cancel by not renewing. Access continues until the end of the paid period.
3.8 Account Deletion
You may delete Your account at any time via the Application. This permanently removes Your Personal Data and transaction records from our servers, subject to legal obligations. For example, We may retain transaction records for up to 5 years as required by Kenyan tax law, but such data will be anonymised or kept in a non-identifiable form.
4. User Obligations and Acceptable Use
You agree not to:
- Violate any laws
- Access systems without authorization
- Disrupt the Service
- Reverse engineer the Application
- Upload harmful content
- Engage in fraud or manipulate financial data
The Company reserves the right to suspend or terminate accounts involved in suspicious or abusive activity.
5. Intellectual Property
All content and functionality belong to the Company and are protected by law. You are granted a limited license for personal or internal business use only.
6. Data Accuracy, Offline Use, and Backup
You are responsible for the accuracy of all data You enter.
The Service may allow offline data entry. Data entered offline may not immediately sync with our servers, and delays or failures may occur.
You are responsible for ensuring Your data is synchronized and backed up. The Company does not guarantee recovery of unsynchronized or locally stored data.
7. No Financial, Accounting, or Tax Advice
The Service is provided for informational and record-keeping purposes only and does not constitute financial, accounting, or tax advice. You are solely responsible for decisions made based on the Service.
8. Third-Party Services
The Service integrates with third-party providers such as:
- Supabase
- Google Play Billing
- Google AdMob
- Firebase Crashlytics
Use of these services is subject to their terms. The Company is not responsible for their actions.
9. Termination
We may suspend or terminate access at any time for violations or harmful activity.
Upon termination, access may be restricted and some data may become inaccessible.
10. Limitation of Liability
To the maximum extent permitted by law:
The Company is not liable for indirect, incidental, or consequential damages, including loss of data or profits.
Total liability shall not exceed the amount paid by You in the last 12 months or KES 10,000, whichever is lower.
11. "AS IS" Disclaimer
The Service is provided "AS IS" without warranties of any kind. We do not guarantee uninterrupted or error-free operation.
12. Force Majeure
The Company shall not be liable for any delay or failure caused by events outside its reasonable control, including network outages, natural disasters, or government actions.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Kenya.
Disputes shall first be resolved informally. If unresolved within 30 days, disputes shall be settled by arbitration in Nakuru, Kenya under the Arbitration Act.
14. Severability and Waiver
If any provision is invalid, the rest remain in effect. Failure to enforce a right is not a waiver.
15. Changes to These Terms
We may update these Terms at any time. Material changes will be communicated at least 30 days in advance.
16. Survival
Any provisions that by their nature should survive termination (including Limitation of Liability, Governing Law, and Intellectual Property) shall survive.
